Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vaultry service operated by Vaultry, Inc. ("we", "us", "our"). By creating an account or using the service, you agree to these Terms.

If you do not agree, do not use the service.

1. The Service

Vaultry is a personal inventory-management web application for collectibles — firearms, vehicles, coins, trading cards, watches, jewelry, and similar valuables. The service lets you record items, attach photos, track locations and conditions, run audits, generate insurance documentation, and export your data.

Vaultry is for personal record-keeping only. It is not:

  • a federally licensed firearms dealer (FFL) bound-book system, A&D book, or ATF 4473 record system,
  • a professional appraisal service,
  • legal advice on the ownership, storage, transfer, or transport of any item,
  • an insurance policy or proof of insurance,
  • a security or alarm service.

Your use of the service does not satisfy any legal, regulatory, or insurance requirement on its own. You are responsible for complying with all laws applicable to you and the items you record.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract under the laws of your jurisdiction to use the service. By creating an account you confirm that you meet these requirements.

The service is currently intended for use by individuals in the United States.

3. Accounts

You sign up using Google OAuth. You are responsible for:

  • the accuracy of the information associated with your account,
  • maintaining the security of your Google account (we do not store your Google password),
  • all activity that occurs under your account,
  • promptly notifying us if you suspect unauthorized access.

You may have at most one account per email address. You may not share account credentials with other people. You may not use another person's account.

4. Your Data and Content

You own your content. Photos you upload, item records you create, notes you write, and any other content you supply ("Your Content") remain yours.

You grant us a limited, non-exclusive, royalty-free license to host, store, transmit, display, back up, and process Your Content solely for the purpose of providing the service to you. This license ends when you delete the content or close your account, except for backups retained for the period stated in our Privacy Policy.

Data portability. You can export your full inventory (CSV/JSON + photos as a ZIP) at any time from the app's import/export tools. We strongly encourage you to download regular backups.

Backup verification. Vaultry backups (the ZIP files you download from the export tools) are cryptographically signed with HMAC-SHA256 using a key derived from your tenant identifier. The signature is verified on import: a backup created by your account can only be restored back into the same account. If you delete your account, the tenant identifier is destroyed and the signatures on every backup ZIP you previously downloaded become permanently invalid — those files remain readable on your device but are no longer restorable to any Vaultry account, old or new. If you want to step back from the service without losing the ability to restore later, the Keep Account Active tier ($1/month) preserves your tenant identifier so backups taken before pausing continue to verify when you resume on a paid plan.

5. Subscriptions and Billing

Vaultry offers a free trial and paid subscription tiers (Starter, Pro, Collector, Unlimited). Tier limits, prices, and billing intervals are shown on the pricing page and in the billing settings inside the app.

  • Payments are processed by Stripe. We do not store full payment card details.
  • Subscriptions renew automatically at the end of each billing period until you cancel.
  • You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current paid period; you keep access until then.
  • Mid-cycle tier changes are prorated by Stripe.
  • Refunds: We do not provide refunds for partial billing periods. As a goodwill measure, we will honor refund requests made within 14 days of your initial subscription.
  • We may change pricing or tier definitions by giving you notice in-app and by email at least 30 days before the change takes effect. Your continued use after the effective date constitutes acceptance.

If a payment fails, we will retry per Stripe's standard schedule and notify you. If payment cannot be collected, your account moves to read-only (you can still log in, view, and export) until billing is resolved.

6. Acceptable Use

You agree not to:

  • use the service in violation of any law applicable to you or your items,
  • use the service to record items you do not lawfully possess or have authority over,
  • attempt to gain unauthorized access to any account, system, or data,
  • reverse-engineer, disassemble, or attempt to extract the source code of the service except to the extent the law permits this,
  • scrape, crawl, or systematically download content from the service,
  • introduce malware, viruses, or any other harmful code,
  • impersonate any person or entity,
  • use the service to harass, threaten, or harm anyone,
  • resell, sublicense, or commercially exploit access to the service without our written agreement.

We may suspend or terminate accounts that violate these rules. For serious or repeated violations we may do so without prior notice; for non-serious violations we will normally give you a chance to correct the issue.

7. Service Availability

We will use commercially reasonable efforts to keep the service available, but we do not guarantee specific uptime, response times, or absence of bugs. The service is provided "as is" and "as available." Scheduled maintenance, upstream provider outages (AWS, Stripe, Google), and unforeseen events may interrupt the service. We will give you reasonable notice of planned maintenance when practical.

No tier carries a contractual SLA.

8. Privacy and Security

How we collect, use, and protect your personal information is described in our Privacy Policy. By using the service you acknowledge the practices described there.

We apply industry-standard practices to protect your data, including:

  • tenant isolation enforced at both the application and database layer,
  • encryption in transit (HTTPS),
  • audit logging of significant actions inside your account,
  • background backups and retention per tier.

No method of electronic storage or transmission is 100% secure. We cannot guarantee absolute security, and you use the service at your own risk.

We will not access your data except as needed to operate, support, secure, or improve the service, or to comply with valid legal process. We will not sell your personal information to third parties.

9. Termination

By you: You may cancel your subscription and/or delete your account at any time from settings. On account deletion, we will delete your data within 30 days, except for backups and records we are legally required to retain. Backup ZIPs you have downloaded prior to deletion remain in your possession but cannot be restored to a new Vaultry account — backups are cryptographically bound to the originating vault and a new account is, for all purposes, a different vault.

By us: We may suspend or terminate your account if you violate these Terms, fail to pay, or use the service in a way that creates legal or operational risk. We will provide notice when feasible. On termination, you can request an export of your data for up to 30 days before deletion.

10. Intellectual Property

We retain all rights to the Vaultry service, including its code, design, branding, logos, and documentation. Nothing in these Terms transfers ownership of our intellectual property to you. You receive only the limited license to use the service described in these Terms.

You retain all rights to Your Content.

11. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We make no representation that the service will be uninterrupted, error-free, secure, or will meet your specific requirements. We do not warrant that valuations, photos, exports, or any other output of the service is accurate, complete, or suitable for any purpose (including insurance, legal, tax, or estate planning).

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the service.
  • Our total cumulative liability for any and all claims arising out of or related to the service is limited to the amount you actually paid us in the 12 months preceding the event giving rise to the claim, or USD $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. To that extent, the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Vaultry, Inc. and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of:

  • your use or misuse of the service,
  • your violation of these Terms,
  • your violation of any law or third-party right,
  • Your Content (including any item record, photo, or note).

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you in-app and by email at least 30 days before the changes take effect. The "Last updated" date at the top reflects the most recent change.

Your continued use of the service after the effective date of an update constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State in which Vaultry, Inc. is organized, without regard to its conflict-of-law principles.

16. Miscellaneous

  • Entire agreement. These Terms (plus the Privacy Policy and any tier-specific terms displayed at purchase) constitute the entire agreement between you and us regarding the service.
  • Severability. If any provision is held unenforceable, the remainder of the Terms remains in effect.
  • No waiver. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
  • Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control (natural disaster, war, act of government, internet or upstream-provider outage, etc.).

Firearms-specific note

If you record firearms in Vaultry, you acknowledge that:

  • You are solely responsible for complying with all federal, state, and local laws governing the firearms you own, including but not limited to ownership eligibility, storage, transport, transfer, and registration requirements.
  • Vaultry is not a federal firearms license (FFL) bound-book or A&D record system. It is not designed for and may not be used to satisfy the recordkeeping requirements of 27 CFR §478.121 et seq. or analogous state rules.
  • Vaultry will not voluntarily disclose your records to any government agency or third party except in response to valid legal process (e.g., a court order, subpoena, or warrant) or as required by law. We will notify you of any such request unless legally prohibited from doing so.
  • The valuations, descriptions, and documentation generated by Vaultry are based on information you supply and are not professional appraisals.
